The Team
A&M's Compensation & Benefits practice is currently seeking a Manager with key expertise in the area of Broad-Based Compensation. The ideal candidate will work with our team of professionals to advise companies of all sizes on various compensation and benefits matters. As an Equity Administration Director, you will ensure seamless management of client employee communications, as well as grant, vesting, and distribution processes. You will provide strategic guidance to clients in establishing and maintaining a best-in-class equity administration function.
Director, Equity Administration (Compensation & Benefits)
How you will contribute:
- Lead the day-to-day equity administration tasks, ensuring timely and accurate execution of daily activity communications and resolution of client stakeholder requests.
- Lead the development and implementation of strategies to enhance client employee communications within the stock administration function, ensuring alignment with organizational goals and best practices.
- Oversee and ensure the successful execution of all equity plan events, including grant issuance, vesting, distributions, and employee termination processes, while maintaining compliance with plan guidelines and regulatory requirements.
- Drive compliance with equity plan requirements by establishing processes for monthly, quarterly, and annual reconciliations, plan share authorization usage tracking, internal process control documentation, and external audit control documentation.
- Review, approve, and enhance internal processes and procedure documentation, focusing on operational excellence, risk mitigation, and continuous improvement.
- Maintain Section 16 Officer beneficial ownership tracking and ensure accurate reporting of grant, vest, distribution, and outside purchase and sales activity.
- Oversee the preparation and filing of Section 16 Officer SEC disclosures (e.g., Forms 3, 4, and 5) and provide strategic guidance to clients on equity plan-related materials for periodic SEC disclosures, including Forms 10-Q, 10-K, and Annual Proxy filings.
- Advise and collaborate with client stakeholders on the development of equity plan-related materials, such as board of director presentations, employee education materials, and tally sheets, ensuring alignment with strategic objectives.
- Lead the review and optimization of equity administration processes, driving innovation, operational efficiency, and adherence to industry best practices.
- Partner with client leadership to design and implement annual long-term equity incentive awards, ensuring alignment with organizational goals, market trends, and strategic priorities.
- Provide strategic direction for the evaluation, selection, and implementation of equity administration platforms, ensuring alignment with client needs and objectives.
- Oversee and guide administration platform transitions, including managing new system setup, data export/import, reconciliation, and validation, ensuring a seamless transition process.
Qualifications:
- Bachelor's degree required, Advanced Degree preferred (i.e., JD, LL.M. in Taxation)
- 7+ years of experience providing equity administration services
- Certified Equity Professional (CEP) certification, CPA, or bar admittance is required
- Familiarity with an equity administration platform (e.g., Fidelity, EquityEdge, Shareworks, ComputerShare, OptionTrax, Certent, Global Shares, BAML, etc.)
- Ability and willingness to learn how to administer equity plans on multiple administration platform technologies
- Solid PC skills, including Microsoft Windows and Office applications, especially Excel, Word and PowerPoint
- Excellent verbal and written communication skills and ability to articulate complex information
- Strong analytical skills and attention to detail
- Ability to simultaneously work on several projects and effectively manage deadlines
- High motivation to learn and grow

Provided the eligibility requirements are met, employees will also receive an annual discretionary contribution to their 401(k) retirement savings plan from Alvarez & Marsal. Additionally, employees are eligible for paid time off including vacation, personal days, seventy-two (72) hours of sick time (prorated for part time employees), ten federal holidays, one floating holiday, and parental leave. The salary range is $130,000 - $175,000 annually, dependent on several variables including but not limited to education, experience, skills, and geography.
