Job DescriptionPOSITION SUMMARY:
NMDP seeks a highly organized and detail-oriented Paralegal to join our Legal & Compliance Department. This role will serve as a generalist, responsible for delivering and supporting a broad range of legal services in a dynamic corporate healthcare/life sciences setting.
The Paralegal will collaborate closely with other members of the Legal & Compliance Department to provide day-to-day legal support to functions throughout NMDP, including Operations, Compliance, and Contracts and Procurement. The Paralegal will support a variety of corporate, regulatory, transactional, and litigation matters.
The Paralegal may provide direction as needed to assist paralegals, administrative staff, and contracted service providers in providing efficient and effective services.
ACCOUNTABILITIES:
Legal Support:
• Provides support on a wide range of legal matters relevant to NMDP.
• Manages intake of requests for Legal & Compliance Department support.
• Manages Legal & Compliance Department files and intranet site.
• Assists in the review and drafting of contracts, including non-disclosure agreements, and other legal documentation.
• Coordinates cross-functionally to support Legal & Compliance Department initiatives.
• Provides administrative support to attorneys, including scheduling, correspondence, and reporting.
Corporate Governance and Compliance:
• Organizes and maintains governance documentation and corporate filings for multiple legal entities.
• Assists with entity formation, annual reports, and other corporate maintenance tasks.
• Tracks and assists with multi-state regulatory filings and licensing renewals.
• Assists with board governance, including by preparing and managing board correspondence and meeting documentation.
• Assists Compliance Department with management of internal processes, including conflict of interest management and OFAC screenings.
Policy Development, Preparation, and Implementation:
• Assists with review, analysis, development, and implementation of NMDP policies and procedures having legal compliance components.
• Assists departments throughout the company with developing and modifying practices and procedures to conform to legal and regulatory requirements.
• Assembles and organizes information for policy and procedure documents.
Other Areas:
• Provides administrative assistance in support of government contracting and reporting, as needed.
• Supports orderly maintenance of NMDP's intellectual property portfolio.
• Manages and creates documentation necessary for the resolution of customs matters.
• Assists with the management and reporting of confidentiality-related matters.
• Provides legal support for clinical research, trials, and studies.
• Supports enterprise document and data retention efforts.
• Identifies areas for process improvement and develops solutions to address same.
• May assist with internal investigations and litigation, including management of legal hold notices, discovery, and responses to subpoenas.
• May assist with corporate transactions.
• May manage activities with outside counsel.
• Participates in special projects and initiatives as needed.
REQUIRED QUALIFICATIONS:
Knowledge of:
• Considerable knowledge of legal research materials, methods, techniques, principles, and practices; considerable knowledge of principles of business/corporate law and contract law.
Ability to:
• Participate in the proactive identification of legal risks in the context of NMDP's business objectives.
• Establish and maintain cooperative working relationships with NMDP personnel, representatives of customer, vendor, and partner organizations, regulators and governmental agencies.
• Demonstrate exceptional verbal and written communication skills.
• Manage and address multiple tasks on a thorough and timely basis.
• Demonstrate initiative and a demonstrated ability to work independently (a "self-starter").
• Maintain confidentiality of information.
• Commit to infrequent travel.
Education and/or Experience:
• Bachelor's degree; a degree/certificate of completion from an approved paralegal program or post-secondary institution preferred. On evaluation, a 2-year degree plus 3 or more years experience in a paralegal position may be substituted for the Bachelor's degree requirement.
• 2 or more years experience as a paralegal in a business environment involving contracts, healthcare/life sciences/technology, or customer relationship responsibilities.Responsibilities
